The agreement between you and us. We have written it to be read, not to be survived — if a clause here would surprise you in a dispute, we have failed and we want to know.

1. Agreeing to these terms
These Terms of Service ("Terms") are a binding agreement between you — the business or person using SabiBot — and Pioneers ICT (RC 1033498), of Suite 1, No. 42, Gidan Saude, Beside First Bank, Zoo Road, Kano, Kano State, Nigeria — the operator of SabiBot ("SabiBot", "we", "us").
By creating an account, starting a trial, or using the service in any way, you accept these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it. If you do not accept these Terms, do not use SabiBot.
Our Privacy Policy and, where you handle customer personal data through the platform, our Data Processing Agreement form part of this agreement.
2. What SabiBot is
SabiBot is a hosted software service that lets a business create an AI assistant ("Sabi") which answers customer questions, captures leads, takes orders, books appointments and issues quotes and invoices — on the business's website and, where enabled, on WhatsApp.
We provide the software. You provide the business. We do not sell your products, fulfil your orders, deliver your services, or take responsibility for the commercial promises your bot makes on your behalf. Section 8 covers this properly, and it is the most important section in this document.
3. Your account
- You must be at least 18 and legally able to enter contracts.
- The information you give us at signup must be accurate, and you must keep it current.
- You are responsible for your login credentials and for everything done through your account. Tell us immediately at hello@sabibot.ng if you suspect unauthorised access.
- Where your plan supports additional team members, you are responsible for what they do. Owner and scoped-Administrator roles exist so you can limit what each person can reach — use them.
- We may refuse, suspend or close accounts used for fraud or in breach of section 9.
4. Free trial
New accounts receive a 7-day free trial with access to the features described at signup. We do not require card details to start a trial, and a trial does not roll into a paid plan by itself — if you do nothing at the end of it, your bot simply stops serving until you choose a plan.
Trials are for genuine evaluation, one per business. Creating multiple accounts to chain trials is a breach of these Terms.
5. Plans and billing
- Current plans and prices are shown on our pricing page, which is the authoritative source. We deliberately do not repeat prices here, so that this document can never contradict them.
- Plans are billed monthly in advance in Nigerian Naira (₦) unless we agree otherwise in writing.
- Payment is collected through our payment gateway. You authorise us to charge the payment method you provide for the plan you select.
- Each plan carries usage allowances — such as the number of conversations and bots. If you exceed them, we will tell you and discuss an upgrade rather than silently cutting you off mid-conversation.
- If a payment fails, we will attempt to reach you before restricting the service.
- Price changes take effect no sooner than 30 days after we notify account holders by email. If you do not accept a new price, you may cancel before it takes effect.
- Prices are exclusive of any applicable VAT or other taxes, which will be added where the law requires.
6. Money from your customers
We never hold your money. When you connect your payout account, payments made by your customers settle directly from the payment gateway to your bank account. Funds do not pass through, or rest in, any SabiBot account — not even briefly.
- SabiBot takes no commission on your sales. What you charge is what settles to you, less the gateway's own fees.
- Settlement timing, gateway fees, chargebacks, refunds and disputes are governed by your agreement with the payment gateway, not by us. We can show you the record; we cannot move the money.
- You are responsible for fulfilling every order your bot accepts, for the accuracy of your prices, and for your own refund policy and tax obligations.
- If you have not connected a payout account, your bot can still take orders, but you must collect payment yourself.
7. Your content and your customers
You own your content. Your business information, FAQs, product catalogue, prices, uploaded documents, conversations, leads, orders and bookings remain yours. We claim no ownership over any of it.
You grant us a limited, non-exclusive licence to host, process, transmit and display that content — solely to operate the service for you, and for no other purpose. That licence ends when you delete the content or close your account.
You confirm that you have the right to provide the content you upload, and that it does not infringe anyone else's rights.
Regarding your customers' personal data: you are the data controller and we are your processor. You are responsible for having a lawful basis to collect it, for telling your customers what happens to it, and for honouring their rights. Our obligations to you are set out in the Data Processing Agreement.
8. What the AI can and cannot do
Read this section properly. It describes a real limitation of the technology, not a legal formality.
Sabi generates replies using large language models. Those models are probabilistic. They are usually accurate and well-behaved, and we have built substantial guardrails — Sabi is instructed never to invent capabilities, never to promise what your configuration does not support, and to hand a conversation to a human when it is out of its depth.
But no such system is guaranteed correct. Sabi may occasionally misunderstand a question, state something inaccurate, or phrase something in a way you would not have. Accordingly:
- You are responsible for what your bot says on your behalf. It speaks in your name, to your customers.
- Configure it properly and review it regularly. Accurate prices, stock and policies in your dashboard are what keep Sabi accurate. The conversation log and the "teach Sabi" tools exist so you can find and fix gaps.
- Do not use Sabi unsupervised for high-stakes advice — medical, legal, financial or safety-critical guidance — or anywhere a wrong answer causes serious harm.
- Check anything that binds you before acting on it, particularly quotes and prices.
- Use the human handoff feature. It exists precisely because software should know its limits.
To the extent the law allows, we are not liable for the content of AI-generated replies, or for decisions you or your customers take based on them. Section 16 sets out the limits that apply.
9. Acceptable use
You must not use SabiBot to:
- Break any law of Nigeria or of any country where your customers are.
- Sell or promote anything illegal — including unlicensed drugs or medicines, weapons, stolen goods, counterfeits, or illegal financial schemes.
- Run fraud, phishing, advance-fee schemes, fake investment offers, or any deceptive scheme.
- Send unsolicited bulk messages, or message people who have not opted in or who have asked you to stop.
- Impersonate another business or person, or misrepresent who your bot is acting for.
- Publish or generate content that is defamatory, harassing, hateful, or that sexualises minors.
- Harvest personal data without a lawful basis, or upload data you have no right to hold.
- Attempt to breach, probe, overload or reverse-engineer the platform, circumvent usage limits or billing, or access another customer's data.
- Resell, sublicense or white-label the service without a written agreement with us.
- Present the bot as a human being where doing so would deceive a customer to their detriment.
We may investigate suspected breaches and take proportionate action, up to immediate suspension where there is risk of harm to people, to your customers, or to the platform.
10. WhatsApp and third-party channels
Where you connect WhatsApp, your use is additionally governed by Meta's WhatsApp Business Terms and Messaging Policy. Meta — not us — controls approval of your business, your message templates, your messaging limits and your quality rating.
Meta may restrict or disable a WhatsApp number for policy breaches. If that happens we will help you understand and appeal it, but we cannot overturn Meta's decision and are not liable for it. The same applies to any other third-party channel or integration you connect.
11. Availability and support
We work to keep SabiBot available continuously, and we run automated checks after every update to catch regressions before they reach you. But we do not guarantee uninterrupted or error-free service, and we do not offer a contractual uptime SLA on standard plans. If you need one, talk to us about an Enterprise arrangement.
We may carry out maintenance that briefly interrupts service. Where it is planned and likely to be noticeable, we give advance notice. Our AI layer runs multiple providers with automatic failover, so an outage at one provider does not by itself take your bot down.

12. Suspension and termination
You may cancel at any time from your dashboard or by emailing us. Cancellation takes effect at the end of your current billing period; your bot keeps working until then.
We may suspend or terminate your account if you materially breach these Terms, if payment fails and remains unresolved after we have contacted you, if your use creates legal risk or harms the platform, or if we are legally required to.
Except where the breach is serious enough to require immediate action, we will give you notice and a reasonable chance to fix the problem first.
After termination: your bot stops serving, and your data remains available for export for 30 days, after which it is deleted in line with our retention policy. Export your data before you leave — and tell us if you need help doing it. We are not in the business of holding your records hostage.
13. Intellectual property
The SabiBot platform, its software, the Sabi character and artwork, our name, logo and branding are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. Nothing here transfers ownership to you.
You may state publicly that you use SabiBot. You may not use our branding in a way that implies we endorse or are responsible for your products.
If you send us feedback or suggestions, we may use them to improve the product without obligation or payment to you. We would rather have your honest feedback than your silence.
14. Cancellation and refunds
- Subscriptions are billed monthly in advance. Cancelling stops future charges; we do not pro-rate a partial month.
- If we materially fail to deliver the service — a prolonged outage attributable to us, or a plan that does not do what we said it does — contact us. We will make it right, by credit or refund as appropriate.
- If you were charged in error, tell us and we will refund it. We are not going to argue over our own mistake.
- Nothing here removes rights you have under the Federal Competition and Consumer Protection Act or other Nigerian consumer law.
15. Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care, and that we have the right to grant you the licence in section 13.
Beyond that, and to the fullest extent the law permits, the service is provided "as is". We do not warrant that it will be uninterrupted, error-free, or that AI-generated output will be accurate, complete or suitable for a particular purpose. We disclaim all implied warranties to the extent the law allows them to be disclaimed.
16. Limits on liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that:
- Neither party is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill, business opportunity or anticipated savings.
- Our total aggregate liability arising out of or in connection with this agreement in any 12-month period is limited to the total fees you paid us in the 12 months before the event giving rise to the claim.
- We are not liable for loss caused by third-party services outside our control — payment gateways, WhatsApp/Meta, AI providers, your internet connection or hosting — or by your own configuration of the bot.
These limits reflect that SabiBot is a low-cost, self-serve tool. If your use case needs a higher liability ceiling, that is a legitimate need — talk to us about an Enterprise agreement rather than assuming the standard terms stretch.
17. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your content, your products or services, your handling of your customers' personal data, or your use of the service in breach of section 9. We will notify you promptly of any such claim and will not settle it without consulting you.
18. Changes to these terms
We may update these Terms as the product and the law change. For material changes we notify account holders by email at least 14 days before they take effect. Continuing to use SabiBot after that date means you accept the new Terms; if you do not, you may cancel without penalty.
The version and effective date at the top of this page always reflect the current text.
19. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria have jurisdiction over any dispute.
Before going to court, both sides agree to try to resolve the dispute in good faith: raise it in writing to hello@sabibot.ng, and we will respond substantively within 14 days. Most disagreements are misunderstandings, and misunderstandings are cheaper to fix by email than by lawyer.
20. General
- Entire agreement. These Terms, the Privacy Policy and the DPA are the whole agreement between us on this subject.
- Severability. If a clause is held unenforceable, the rest stands and that clause is read down to the minimum extent necessary.
- No waiver. Not enforcing a right once does not waive it.
- Assignment. You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition or sale of assets, on notice to you.
- Force majeure. Neither party is liable for failure caused by events beyond reasonable control.
- Notices. We give notice by email to your account address. You give notice to hello@sabibot.ng.
- No partnership. Nothing here creates a partnership, agency or employment relationship.
